Josh's practice concentrates on taxation, including corporate and partnership issues in the transactional field, personal income tax, and estate and gift tax in the setting of individual planning, tax-exempt organizations in the nonprofit world, and issues with sales and use tax, aircraft excise taxes, and real estate assessments.
Within the transactional field, Josh advises clients on the formation of particular entities, the sale of stock and assets of closely held businesses, detailing operating agreements and shareholder agreements, and advising on aircraft sales and purchases. Josh also specializes in structuring tax allocations and distribution tranches within operating agreements and creating equity inventive plans for key employees.
His trusts and estates practice focuses on simplifying the probate process and reducing taxes where applicable. This practice includes drafting tax sensitive trusts and wills as well as personal planning items such as medical directives and powers of attorney. Josh prepares and reviews income, gift, and estate tax returns.
His nonprofit practice is extensive in advising clients in their operation of public charities, private foundations, and business leagues, avoiding the pitfalls of excise taxes and loss of exemption.
Josh has been named one of Virginia Business magazine’s "Legal Elite." Josh joined Woods Rogers in 2008 after practicing tax law and estate planning in Charlottesville, Virginia. He is a graduate of Hampden-Sydney College, where he served as a legislative intern in the Virginia General Assembly and was named a member of Pi Sigma Alpha Political Science Honor Society. He received his law degree from Samford University and a master of law degree in taxation from the University of Florida.
