Corporate Transactions Attorney (Richmond or Charlottesville, VA)
Woods Rogers seeks a Corporate Transactions Attorney to join its dynamic Corporate & Business Transactions team in the Charlottesville or Richmond office. The successful candidate will have a strong background in corporate law with a focus on mergers and acquisitions (M&A), private equity transactions, and other complex business transactions. The Corporate Transactions Attorney will provide strategic legal advice to clients on a wide range of corporate matters, from initial structuring to post-closing integration.
Required Qualifications
- Juris Doctor (JD) degree.
- Admission to the state bar of Virginia.
- Minimum of 3 years of experience in corporate law, with a focus on M&A, private equity, securities, or related transactions.
- Significant experience managing and advising on corporate transactions and complex negotiations.
- Familiarity with federal securities laws, Virginia corporate law, and other relevant regulatory frameworks.
- Strong understanding of corporate governance, business law, and commercial contracts.
- Excellent negotiation, drafting, and communication skills.
- Client-focused with a collaborative approach to problem-solving.
Responsibilities
- Mergers & Acquisitions (M&A): Lead or assist with the negotiation, structuring, and execution of M&A transactions, including asset purchases, stock/share purchases, and mergers. Provide legal counsel on due diligence, drafting transaction documents, and handling regulatory filings.
- Private Equity Transactions: Advise on private equity investments, including fund formation, portfolio company investments, buyouts, recapitalizations, and exits. Assist with the negotiation of deal terms and partnership agreements.
- Corporate Governance: Counsel clients on corporate governance matters, including board and shareholder issues, executive compensation, and compliance with corporate laws.
- Securities Compliance: Advise on securities law matters, including public offerings, private placements, SEC filings, and compliance with applicable securities regulations (e.g., the Securities Act of 1933 and the Securities Exchange Act of 1934).
- Contracts and Commercial Agreements: Draft, review, and negotiate a variety of commercial contracts, such as joint ventures, licensing agreements, shareholder agreements, and employment agreements.
- Legal Research and Analysis: Conduct legal research on corporate law issues, emerging trends in corporate governance, and regulatory changes. Provide clear, actionable legal analysis to clients.
- Client Interaction: Develop and maintain strong client relationships. Regularly communicate with clients to understand their business objectives and provide tailored legal advice.
- Team Collaboration: Work closely with other attorneys in the corporate group and across practice areas to provide seamless service to clients. Supervise junior associates and paralegals, as appropriate.
- Transaction Management: Manage multiple transactions simultaneously, ensuring that all deadlines and client expectations are met while maintaining high-quality work product.
