Woods Rogers Business Services (WRBS) provides ancillary services that complement the firm’s core legal services provided by our attorneys. WRBS is a comprehensive solution for both registered agent and Corporate Transparency Act compliance services.
Registered Agent Services in Virginia
As your statutory registered agent in Virginia, WRBS receives on your behalf any correspondence, annual assessments, or tax notices from the State Corporation Commission and forwards it to you according to your specific delivery requirements. Additionally, we accept service of process, including lawsuits and subpoenas, that are served by sheriff’s deputies or private process servers, on your behalf at our offices and forward to you immediately according to your delivery requirements.
Registered Services Outside Virginia
If registered agent service outside of Virginia is needed, WRBS partners with a national company to provide that service under our account. These services are provided at a substantial discount for clients of our law firm. WRBS acts as a liaison to ensure a smooth transition and a seamless service experience.
WRBS handles filing the change of registered agent statement(s) with the State Corporation Commission and/or any Secretary of State offices at no charge to you.
Corporate Transparency Act Compliance Services
The Corporate Transparency Act (CTA) is a federal law that went into effect on January 1, 2024, with the aim of combating money laundering, terrorist financing, and other illicit activities by requiring companies to report information about their beneficial ownership to the Financial Crimes Enforcement Network (FinCEN), a part of the U.S. Treasury Department.
After numerous delays and challenges in court, the Treasury Department announced on March 2, 2025, that it planned to significantly reduce the number of entities required to report under the CTA. Consistent with Treasury’s statement, on March 21, 2025, FinCEN issued an interim final rule removing the requirement for U.S. companies and U.S. persons to report beneficial ownership information (BOI) to FinCEN under the CTA.
In that interim final rule, FinCEN revised the definition of “reporting company” to mean only those entities that are formed under the law of a foreign country and registered to do business in the U.S. Therefore, entities created in the United States are exempt from the requirement to report BOI to FinCEN.
Foreign entities that meet the definition of reporting companies must file a BOI report within 30 days from March 21, 2025 (the date of issuance of the interim final rule) or 30 days from the date of notice of registration in the U.S.
FinCEN is accepting comments on this interim final rule for 60 days. FinCEN will assess the comments and whether there should be any amendments or exceptions to the rule and intends to issue a final rule later this year.
With judicial scrutiny and action by Congress still possible, this may not be the last word on the shifting landscape of the CTA.
