Woods Rogers Business Services (WRBS) provides ancillary services that complement the firm’s core legal services provided by our attorneys. WRBS is a comprehensive solution for both registered agent and Corporate Transparency Act compliance services.
Registered Agent Services in Virginia
As your statutory registered agent in Virginia, WRBS receives on your behalf any correspondence, annual assessments, or tax notices from the State Corporation Commission and forwards it to you according to your specific delivery requirements. Additionally, we accept service of process, including lawsuits and subpoenas, that are served by sheriff’s deputies or private process servers, on your behalf at our offices and forward to you immediately according to your delivery requirements.
Registered Services Outside Virginia
If registered agent service outside of Virginia is needed, WRBS partners with a national company to provide that service under our account. These services are provided at a substantial discount for clients of our law firm. WRBS acts as a liaison to ensure a smooth transition and a seamless service experience.
WRBS handles filing the change of registered agent statement(s) with the State Corporation Commission and/or any Secretary of State offices at no charge to you.
Corporate Transparency Act Compliance Services
The Corporate Transparency Act (CTA) is a federal law that went into effect on January 1, 2024. Under the CTA, entities formed or registered to do business prior to January 1, 2024, were required to file a Beneficial Ownership Information (BOI) Report with FinCEN by January 1, 2025, unless an exemption applied. Entities formed in 2024 were required to file a BOI Report within 90 days of formation, and entities formed in 2025+ were required to file within 30 days of formation.
The reporting requirement of the CTA was preliminarily enjoined on December 3, 2024, by an Order of the U.S. District Court for the Eastern District of Texas. The Court issued a nationwide preliminary injunction enjoining the CTA, including enforcement of the Reporting Rule, and declaring that reporting companies need not comply with reporting deadlines. The preliminary injunction went into effect immediately.
Woods Rogers and WRBS will continue to monitor developments regarding this case and the injunction. Our attorneys and WRBS staff will continue to assist clients with filing their BOI Reports with FinCEN if and when the injunction is lifted. WRBS will also assist clients who wish to file their BOI Reports while the injunction is in effect.
