Tom is an accomplished government contracts attorney with extensive experience managing multimillion dollar government contracts from both within and outside the government. He understands the needs of all parties involved in a supply or distribution contract and uses his experience to negotiate on behalf of his clients regarding non-disclosure agreements, teaming agreements, reseller agreements, distribution agreements and more, with a focus on information technology and software procurement. In addition, Tom provides strategic guidance on Small Business programs, FAR/DFARS regulations, government expectations, compliance, and risk mitigation.
Tom is a frequent panelist and guest speaker on Small Business issues, IT matters, and appropriations law. He also develops and delivers training courses on procurement and fiscal law to company leaders and sales teams.
Tom retired from the Army in 2019 after twenty years of active service, including three years as a professor and vice-chair for the Contract and Fiscal Law Department of the Judge Advocate General’s Legal Center and School. Tom concluded his Army service as a government contracts attorney for the Space and Missile Defense Command at Redstone Arsenal in Huntsville, AL. Before joining Woods Rogers, Tom worked for six years as the General Counsel for a HUBZone Small Business engaged in government contracting.
Tom lives in Charlottesville with his wife and three children. He is a foster dad, a decent musician, an amateur woodworker, and teaches logic at a local hybrid school.
Experience
- Advised multiple source selection evaluation boards (SSEBs) in evaluating proposals for multi-million dollar government contract awards.
- Taught hundreds of government attorneys and contracting personnel in both fiscal and contracts law as a professor and vice-chair at the Army’s Judge Advocate General’s School.
- Submitted Congressional Testimony to the House Committee on Small Business recommending changes to the HUBZone program.
- Advises small businesses on all aspects of SBA compliance including representations and certifications, the nonmanufacturer rule, limitations on subcontracting, mentor-protégé agreements, and affiliation rules.
- Drafts and negotiates software end user license agreements (EULAs) to ensure compliance with federal agency restrictions.
- Advises on proposal drafting, contract administration matters, requests for equitable adjustment (REAs) and claims, contract modifications, payment/invoicing issues, and contract closeout.
